GULF GAMBIT — TERMS OF SERVICE & END USER LICENSE AGREEMENT

1. Who these Terms are between

These Terms of Service and End User License Agreement ("Terms") are an agreement between you ("you", "Player") and:

("we", "us", "our" or "Gulf Gambit").

These Terms govern your access to and use of Gulf Gambit, including the mobile application, accounts, online services, Virtual Goods and related services (together, the "Service").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use Gulf Gambit.

Section 17 contains additional terms applicable when Gulf Gambit is downloaded through Apple's App Store.

2. Age requirement

You must be at least 13 years old to use Gulf Gambit.

If the law where you live requires you to have permission from a parent or legal guardian to enter into these Terms, make purchases or use particular features, you may only do so with that permission.

Additional privacy rules apply to children and teenagers, as explained in our Privacy Policy.

3. Your account

You agree to:

• provide accurate information;
• keep your login credentials secure;
• notify us if you suspect unauthorised access; and
• use your account only in accordance with these Terms.

Unless we expressly permit otherwise:

• accounts are personal;
• you may not sell or transfer an account;
• you may not share an account to circumvent restrictions;
• you may not create multiple accounts to obtain an unfair gameplay advantage; and
• you may not impersonate another person or Gulf Gambit staff member.

You are responsible for activity performed through your account to the extent permitted by applicable law.

4. Rules of conduct

You may not:

• cheat or use unauthorised automation, bots, scripts or third-party tools;
• intentionally exploit bugs or vulnerabilities;
• manipulate matchmaking, rankings or rewards;
• access or interfere with servers except through authorised interfaces;
• bypass security or anti-cheat measures;
• reverse-engineer, decompile or disassemble Gulf Gambit except to the extent such restriction is prohibited by applicable law or permitted by applicable open-source licences;
• interfere with or overload the Service;
• scrape or collect personal data about other players without permission;
• harass, threaten or dox another person;
• publish unlawful, hateful, sexually exploitative or seriously abusive content;
• impersonate another player, public figure or staff member;
• use another person's intellectual property unlawfully;
• use Gulf Gambit commercially except as expressly permitted by us; or
• use the Service for unlawful purposes.

Depending on the circumstances, violations may result in:

• content removal;
• chat restrictions;
• warnings;
• temporary suspension;
• matchmaking restrictions; or
• permanent account termination.

5. Chat and user-generated content

Gulf Gambit may allow you to post:

• chat messages;
• usernames;
• alliance content; and
• other material ("User Content").

You retain any rights you have in your original User Content.

You grant us a non-exclusive, worldwide, royalty-free licence to host, reproduce, display, transmit, moderate and process User Content to the extent reasonably necessary to:

• operate Gulf Gambit;
• display it to the intended recipients;
• moderate the Service;
• enforce these Terms;
• investigate abuse;
• comply with law; and
• protect players.

This licence ends when the content is deleted from our systems, except to the extent continued storage is reasonably required for backups, legal obligations, disputes, security or moderation records.

Chat safety

Players can, where the relevant moderation tools are available in the current version of the Service:

• report inappropriate content;
• mute or block other players; and
• contact us at support@gulf-gambit.com.

All three controls are available in Gulf Gambit:

• Report — from a player's profile or a match, sending the report to us for review.
• Mute — you stop seeing that player's messages. They are not notified, and nothing else about their game changes.
• Block — neither of you sees the other's messages, and neither can send the other a friend request.

Muting and blocking take effect immediately and can be undone at any time from the same place. Neither removes a player from a match already in progress: other players are in that match, and it does not end because two people fell out.

We also filter messages automatically before they are delivered. Some content is delivered with words obscured, and some is refused outright.

We may use automated and human moderation measures to detect or review suspected violations.

We have zero tolerance for:

• sexual exploitation of children;
• credible threats of violence;
• doxxing;
• severe targeted harassment; and
• content whose distribution is unlawful.

We may immediately restrict or terminate accounts involved in serious violations.

6. Virtual Goods

Gulf Gambit may include virtual items such as:

• Coins;
• Commanders;
• Accessories;
• cosmetic items;
• boosts; and
• Bundles,

together referred to as "Virtual Goods".

Unless expressly stated otherwise:

• Virtual Goods are digital game entitlements;
• they have no cash value;
• they are not deposits, stored-value accounts, securities or financial instruments;
• they cannot be redeemed for real money;
• they cannot be sold or transferred outside features expressly provided by us;
• they may only be used within Gulf Gambit; and
• your access to them is subject to these Terms.

Payment for a Virtual Good gives you a limited, personal, non-transferable licence to use that Virtual Good within Gulf Gambit. It does not transfer ownership of the underlying intellectual property.

7. Changes to Virtual Goods and game balance

Gulf Gambit is an evolving strategy game.

We may make reasonable changes to gameplay, balance, progression, features and Virtual Goods for valid reasons such as:

• game balance;
• fairness;
• security;
• technical requirements;
• compatibility;
• fraud or abuse prevention;
• legal or platform requirements;
• fixing errors;
• player experience; or
• maintaining the viability of the Service.

Such changes will not impose an additional charge merely because the change is made.

Where required by applicable consumer law, we will inform you clearly of relevant changes.

If a change materially and negatively affects your access to or use of a paid digital service or content beyond a minor degree, any statutory rights you have under applicable consumer law remain unaffected.

Nothing in these Terms removes mandatory consumer rights relating to digital content or digital services.

8. In-app purchases

Purchases made through the iOS version of Gulf Gambit are processed by Apple through the App Store.

Before completing a purchase, the App Store displays the applicable price and requests confirmation.

We may receive transaction information from Apple so that we can validate purchases and provide the relevant Virtual Goods.

Payment, billing and certain refund requests are handled through Apple. You can request an App Store refund using Apple's available refund process.

Our Refund and Cancellation Policy sets out how refunds work in full, including how to ask Apple, when to come to us instead, what a refund does to Coins and items, and the statutory rights that apply regardless of what Apple decides.

Nothing in these Terms limits any refund, conformity or consumer right you are entitled to under mandatory law.

Fraudulent chargebacks, manipulated purchase receipts or deliberate attempts to obtain purchased content without paying may result in suspension or termination.

9. EU/EEA withdrawal rights

In simple terms: where the legal requirements for immediate delivery of digital content have been met, you will generally no longer have a statutory withdrawal right for content you have consumed, such as Coins you have spent or a Bundle you have opened. Other statutory refund or conformity rights may still apply, and App Store refund requests are handled through Apple's available refund process.

Consumers in the EU/EEA may have statutory withdrawal rights for distance contracts.

Different rules can apply to digital content and digital services.

Where applicable law allows the statutory withdrawal period for digital content to end once performance begins, this may only occur where the legally required conditions have been met, including any required express consent to immediate performance and acknowledgement concerning loss of the withdrawal right.

Where Apple controls the payment and purchase-confirmation process, Apple's purchase and refund processes may also apply.

This Section does not waive or replace any mandatory consumer rights.

10. Advertising

This version of Gulf Gambit contains no advertising. There is no advertising SDK in the App, no advertisement is requested or displayed, and no reward is offered for watching one.

If rewarded advertising is introduced in a future version, these Terms and our Privacy Policy will be updated before that version ships, and the terms on which it operates — that watching is optional, that the reward and its conditions are shown beforehand, and that any permission required for tracking or personalisation is obtained first — will be set out here at that point.

11. Intellectual property

Gulf Gambit and all associated intellectual property are owned by JGM Studios B.V., its affiliates or licensors.

This includes, where applicable:

• source code;
• game systems as protectable by law;
• artwork;
• UI;
• music;
• sound;
• dialogue;
• characters;
• fictional organisations;
• Commander designs;
• names and logos;
• maps;
• animations;
• promotional material; and
• branding.

Subject to these Terms, we give you a limited, personal, non-exclusive, non-sublicensable, non-transferable and revocable licence to use Gulf Gambit for personal entertainment purposes.

You may not reproduce, distribute or exploit Gulf Gambit except where:

• these Terms expressly allow it;
• we have given permission; or
• applicable law gives you that right.

Screenshots, videos and creator content

We retain all rights in the underlying Gulf Gambit materials appearing in screenshots and recordings.

We permit ordinary non-commercial fan art, screenshots and community discussion.

We also permit ordinary monetised gameplay videos, livestreams and commentary through platforms such as YouTube and Twitch, provided that you:

• do not imply that your content is official;
• do not sell or sublicense Gulf Gambit assets themselves;
• do not use leaked or unlawfully obtained material; and
• comply with any separate Gulf Gambit Creator Policy we publish.

You retain your rights in any original commentary, artwork or other material you create yourself.

12. Fair play

Gulf Gambit is designed as a competitive strategy game.

We may use server-side systems, moderation, anti-cheat measures and gameplay analysis to protect competitive integrity.

We may investigate:

• cheating;
• collusion;
• intentional exploitation;
• win trading;
• multiple-account abuse;
• unauthorised automation; and
• manipulation of rankings or rewards.

Unless expressly introduced and disclosed in the future, Gulf Gambit does not offer paid randomised loot boxes containing undisclosed rewards.

If this model changes, these Terms and any legally required disclosures will be updated before implementation.

13. Updates and availability

We will use reasonable efforts to operate Gulf Gambit reliably, but online services can experience:

• maintenance;
• outages;
• bugs;
• cyber incidents;
• platform failures; or
• other interruptions.

We may issue patches, updates or new versions.

For security, compatibility or continued operation, you may sometimes need to use a current version of the App.

We do not promise that every feature will always remain available indefinitely.

Your statutory rights regarding digital content and digital services remain unaffected.

14. Suspension and termination

You may

You may stop playing at any time. You may request deletion of your account through: Settings → Account → Delete Account. Additional information is available in our Privacy Policy.

We may

We may restrict, suspend or terminate an account where reasonably justified, including where:

• you materially breach these Terms;
• you cheat or compromise game integrity;
• you create a safety risk;
• fraudulent activity occurs;
• we are legally required to act; or
• continued access presents a material security risk.

Where reasonable and appropriate, we may issue a warning before taking permanent action. Serious violations may justify immediate action.

If we terminate an account for a serious breach caused by you, access to Virtual Goods associated with that account may also end, subject always to any mandatory consumer rights.

Inactive accounts

We may delete accounts that have been inactive for at least 24 months, provided we give reasonable advance notice where we have a valid email address and where such notice is required or reasonably practicable.

15. Discontinuing Gulf Gambit

We hope to operate Gulf Gambit for a long time, but we cannot promise that the Service will exist indefinitely.

We may discontinue all or part of Gulf Gambit for valid operational, legal, commercial, security or technical reasons.

Where reasonably practicable, we will provide at least 30 days' advance notice of permanent discontinuation.

Where applicable law gives you rights relating to paid digital content, refunds, conformity or termination, those rights remain unaffected.

We will not intentionally represent Virtual Goods as cash balances or guarantee that unused Virtual Goods will always remain usable indefinitely.

16. Liability and statutory rights

Nothing in these Terms excludes or limits:

• rights that cannot lawfully be excluded;
• liability for fraud or fraudulent misrepresentation;
• liability for intentional misconduct;
• liability for death or personal injury where it cannot legally be limited; or
• mandatory consumer rights.

If you are a consumer, Gulf Gambit is subject to the statutory rights and guarantees that apply to you under applicable consumer law.

To the extent permitted by applicable law, we are not responsible for losses that:

• were not reasonably foreseeable;
• result from your violation of these Terms;
• result from unauthorised third-party access that was not caused by our failure to use legally required care; or
• arise from events outside our reasonable control.

Nothing in this Section excludes liability where doing so would be unlawful.

17. Apple App Store terms

If you obtain Gulf Gambit through Apple's App Store, you acknowledge and agree that:

17.1 Agreement with us

These Terms are between you and JGM Studios B.V., not Apple. We, not Apple, are responsible for Gulf Gambit and its content.

17.2 Scope of licence

Your licence is limited to a non-transferable licence to use Gulf Gambit on Apple-branded products that you own or control, as permitted by the applicable Apple Media Services usage rules. Use through Family Sharing or other Apple-supported account-sharing functionality may be permitted where Apple's rules allow it.

17.3 Maintenance and support

We, not Apple, are responsible for maintenance and support for Gulf Gambit to the extent required under these Terms or applicable law. Apple has no obligation to provide maintenance or support services for Gulf Gambit.

17.4 Warranties

To the extent any legally applicable warranty cannot be effectively disclaimed and Gulf Gambit fails to conform to that warranty, you may notify Apple. Where applicable under Apple's terms, Apple may refund any purchase price paid to Apple for the App itself. Apple has no other warranty obligation regarding Gulf Gambit to the extent permitted by applicable law.

17.5 Product claims

We, not Apple, are responsible for addressing claims relating to Gulf Gambit, including claims concerning:

• product liability;
• failure to comply with legal or regulatory requirements; and
• consumer-protection or privacy matters, to the extent those claims are our responsibility under applicable law.

17.6 Intellectual-property claims

If a third party alleges that Gulf Gambit or your authorised possession and use of Gulf Gambit infringes that party's intellectual-property rights, we, not Apple, are responsible for investigating, defending, settling or resolving that claim to the extent required by applicable law.

17.7 Legal compliance

You represent that:

• you are not located in a country or region subject to a relevant U.S. Government embargo or designated by the U.S. Government as supporting terrorism; and
• you are not listed on a U.S. Government list of prohibited or restricted parties.

17.8 Third-party terms

When using Gulf Gambit, you must comply with applicable third-party agreements, including applicable App Store and telecommunications/data-service terms.

17.9 Apple as third-party beneficiary

Apple and Apple's subsidiaries are third-party beneficiaries of these Terms as they relate to the iOS App. When you accept these Terms, Apple has the right to enforce the applicable Apple-related provisions against you as a third-party beneficiary.

18. Changes to these Terms

We may update these Terms for valid reasons, including:

• changes to Gulf Gambit;
• new features;
• legal requirements;
• security requirements;
• business or platform changes; or
• clarification of existing provisions.

For material changes, we will provide reasonable advance notice, normally at least 14 days, unless:

• urgent security action is required;
• law requires a different timeframe; or
• the change benefits users without materially reducing their rights.

Where applicable law requires your express acceptance of a change, we will request it.

Otherwise, continued use after the effective date of properly notified Terms may constitute acceptance to the extent permitted by law.

If you do not agree to the revised Terms, you may stop using Gulf Gambit and delete your account.

Mandatory consumer rights remain unaffected.

19. Governing law and disputes

These Terms are governed by the laws of the Netherlands.

If you are a consumer living in another country, this choice of law does not deprive you of mandatory consumer protections that apply in your country of residence.

Nothing in these Terms prevents you from bringing a claim before a court that has jurisdiction under applicable consumer law.

Before beginning formal proceedings, you may contact us at legal@gulf-gambit.com so that we have an opportunity to resolve the matter directly.

Where an applicable certified alternative-dispute-resolution procedure is available and legally relevant, you may also have rights to use that procedure.

20. General provisions

If one provision of these Terms is invalid or unenforceable, the remaining provisions continue to apply to the extent permitted by law.

Our failure to enforce a provision immediately does not mean we permanently waive that right.

You may not transfer these Terms or your account except where applicable law gives you that right.

We may transfer our rights and obligations in connection with a merger, acquisition, restructuring or transfer of the Gulf Gambit business, provided your mandatory rights are not reduced.
